Terms and Conditions of Use

1. GENERAL INFORMATION

These Terms and Conditions govern the use of the Florum digital platform, operated by:

2. DEFINITIONS

  • "Platform": The Florum website and application accessible at www.florum.it
  • "Service": The services offered through the Platform
  • "User": Any person who accesses or uses the Platform
  • "Vendor": Registered user who offers products or services on the Platform
  • "Buyer": User who views or contacts Vendors for products/services
  • "Content": Texts, images, videos and other materials published on the Platform

3. NATURE OF THE SERVICE

Florum is a digital marketplace platform dedicated to the horticulture sector that:

  • Allows Vendors to advertise their products and services
  • Facilitates direct contact between Vendors and potential customers
  • Does NOT handle direct commercial transactions
  • Is NOT responsible for the conclusion or execution of sales contracts

IMPORTANT: Florum acts exclusively as a digital showcase. All commercial relationships, including payments, deliveries and warranties, occur directly between Vendors and Buyers.

4. REGISTRATION AND ACCOUNT

4.1 Registration requirements

  • Minimum age: 18 years
  • Legal capacity to contract
  • Valid email address
  • For Vendors: regularly established commercial activity

4.2 Account responsibility

  • The User is responsible for the security of their account
  • Sharing login credentials is prohibited
  • The User must immediately notify unauthorized access
  • One account per natural/legal person

4.3 Suspension and termination

We reserve the right to suspend or terminate accounts in case of:

  • Violation of these Terms
  • Fraudulent or illegal activities
  • Publication of inappropriate content
  • Non-payment of subscription (for Vendors)

5. SERVICES FOR VENDORS

5.1 Subscriptions

  • 6-month plan: €119.00 (excluding VAT)
  • 12-month plan: €199.00 (excluding VAT)

Subscriptions renew automatically unless cancelled. Payments are processed via Stripe according to their terms of service.

5.2 Included features

  • Complete company profile creation (including mandatory billing address, company name, VAT/Tax ID, Recipient code/PEC)
  • Unlimited publication of products and services (with mandatory pot size and height, unless "Not applicable" option selected)
  • Up to 3 featured products
  • Image and description management
  • View statistics and product impressions
  • Internal messaging system for contact between Vendors and Buyers
  • Possibility to receive push notifications for platform updates

5.3 Vendor obligations

  • Provide truthful and updated information
  • Comply with all applicable regulations
  • Manage relationships with customers directly
  • Maintain active subscription for public visibility
  • Respond promptly to contact requests

6. COMMUNICATIONS AND NOTIFICATIONS

6.1 Email and mandatory communications

We send emails for essential service-related communications, including:

  • Registration and authentication confirmations (OTP)
  • Subscription and payment notifications
  • Important platform communications
  • Service terms modifications

These communications are necessary for service delivery and do not require specific consent.

6.2 Push notifications (optional)

The platform offers the possibility to receive push notifications via browser. These notifications are completely optional and require your explicit consent through the native browser permission.

Purpose of push notifications:

  • Important platform updates
  • Reminders related to your account
  • Offers and promotions (only if you have given consent)
  • Platform news and features

Management: You can disable push notifications at any time from your browser settings or from the site footer by clicking "Manage notifications".

Service used: Push notifications are managed via OneSignal Inc. (USA). For more information, consult our Privacy Policy.

6.3 Internal messaging

The platform offers a chat system for direct contact between Vendors and Buyers. Use of messaging is subject to user responsibility for content sent. It is prohibited to send offensive, illegal or non-commercial messages.

7. CONTENT AND INTELLECTUAL PROPERTY

7.1 Vendor content

  • The Vendor retains ownership of their content
  • The Vendor grants Florum a usage license for publication
  • The Vendor guarantees having all rights to published content
  • Publishing copyright-protected content without authorization is prohibited

7.2 Prohibited content

It is prohibited to publish content that:

  • Violates laws or regulations
  • Is defamatory, offensive or discriminatory
  • Contains viruses or malicious code
  • Violates third-party rights
  • Is misleading or fraudulent
  • Is not relevant to the horticulture sector

7.3 Moderation

Florum does NOT perform preventive content moderation.Vendors are solely responsible for published content. We reserve the right to remove content reported as inappropriate.

8. LIMITATIONS OF LIABILITY

8.1 Exclusion of liability for transactions

Florum is NOT a party to sales contracts between Vendors and Buyers andassumes NO responsibility regarding:

  • Quality, compliance or defects of products/services
  • Failed deliveries or delays
  • Payment issues
  • Commercial disputes
  • Direct or indirect damages arising from transactions

8.2 Service availability

We do not guarantee continuous availability of the Platform. The service may be interrupted for maintenance, updates or force majeure.

8.3 Damage limitation

In no case shall our liability exceed the amount paid by the User for the subscription in the last year.

9. PAYMENTS AND REFUNDS

9.1 Payment methods

  • Payments are processed via Stripe
  • Credit and debit cards accepted
  • Advance payment for the entire subscription period

9.2 Refund policy

Refunds are handled case by case through direct contact:

No automatic refunds are provided. Each request will be evaluated individually considering specific circumstances.

9.3 Cancellation

Subscriptions can be cancelled at any time by contacting support. Cancellation will take effect at the natural expiration of the current subscription.

10. DISPUTE MANAGEMENT

10.1 Amicable resolution

10.2 Disputes between Vendors and Buyers

Florum does NOT intervene in commercial disputes between Vendors and Buyers. Parties must resolve them directly or through appropriate legal channels.

11. RIGHT OF WITHDRAWAL (CONSUMERS)

In accordance with Legislative Decree 206/2005 (Consumer Code), consumers have the right to withdraw from the contract within 14 days of subscribing to the subscription, without the need to specify the reason.

12. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms and Conditions. Substantial modifications will be communicated via email to registered users with at least 30 days' notice.

Continued use of the Platform after modifications constitutes acceptance of the new terms.

13. APPLICABLE LAW AND COMPETENT COURT

These Terms are governed by Italian law. For any dispute, the Court of Pistoia has exclusive jurisdiction, except for different mandatory jurisdiction provided by law.

15. FINAL PROVISIONS

  • If a clause is found to be invalid, the others remain in force
  • Failure to exercise a right does not constitute waiver
  • These Terms constitute the entire agreement between the parties
